Insider transaction handling
Which Form 3/4/5 lines count as insider buying, and which never do.
Insider pages are built from the non-derivative tables of Forms 3, 4 and 5. Every line is shown with its SEC transaction code, and the site's aggregate statistics follow one strict rule:
- Only code P (open-market purchase) counts as insider buying. Grants and awards (A), option exercises (M), tax withholding (F), gifts (G) and other codes are displayed with their code and never counted as purchases.
- Code S (open-market sale) is shown as selling, with the standing caveat that insiders sell for many non-informational reasons.
- Cluster buying = at least two distinct insiders of the same company making code-P purchases within a 30-day window.
Wording note: the site says “insider transactions” and “insider buying” — these are lawful, mandatory disclosures, and the pages describe them.
