What the 13D & 13G watch shows and how intent is (not) inferred.


The watch lists initial Schedules 13D and 13G and their amendments as they are filed, with the filer, subject company, reported ownership percentage where the filing states it, event date, and a link to the original document.

Intent is never inferred. A 13D is not labeled “activist” unless the filing's Item 4 states plans or proposals, in which case the site reports what the filing says. Schedule switches (13G → 13D and back) are shown as facts of record.

Limitations

Percentages are as reported at the filing date and change with amendments; the sequence of filings for one holder-company pair is the reliable record, and the watch groups them accordingly.
